Senior Legal Counsel, Governance & Finance

Location

Espoo, Finland (headquarters).

Responsibilities

• Advise on company law, securities law, disclosure obligations and other applicable regulations relevant for a listed company.
• Be responsible for subsidiary management framework, insider management processes, general meeting process and governance reporting.
• Support external reporting and disclosure processes, board governance and meetings, corporate documentation and investor communications.
• Maintain, develop and advise on governance policies and internal governance procedures.
• Provide legal support on financing transactions.
• Draft, review, and negotiate financing agreements and documentation.
• Support treasury activities, M&A, restructuring, and corporate reorganization projects from a governance and finance legal perspective.
